Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Intendr platform and all related services (collectively, the "Service") provided by Intendr ("Intendr," "we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Description of Service
Intendr is an AI-powered customer engagement platform that provides:
- AI Chat Agents: Customizable chat agent widgets that can be embedded on websites. Chat agents are trained on Customer-provided content and use large language models to generate responses.
- Voice Agents: Phone-based AI agents powered by ElevenLabs that handle inbound and outbound calls, with optional call recording and transcription.
- Live Chat Handoff: Real-time transfer of conversations from AI chat agents to human agents, including queue management and agent notifications.
- Lead Capture Funnels: Multi-step forms embedded within chat conversations that collect visitor information such as name, email, phone number, and custom fields.
- Visitor Tracking and Identity Resolution: A JavaScript tracking pixel that collects browsing behavior, device data, and device fingerprints to build visitor identity profiles. Optional IP-based identity resolution through third-party data partners.
- Webhook Integrations: Automated data transmission to Customer-configured endpoints upon lead capture, funnel completion, and other events.
- Analytics: Integration with Google Analytics 4 for tracking engagement events.
2. Eligibility and Account Registration
The Service is available to businesses and individuals who are at least 18 years old and have the legal capacity to enter into a binding agreement. Access to the Service is by invitation only.
When you create an account, you must provide accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
3. Organizations and Roles
Accounts are organized into organizations. Each organization may have users with different roles (owner, admin, or member), each with varying levels of access and permissions. The organization owner is responsible for managing user access and ensuring that all users within the organization comply with these Terms.
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable local, state, national, or international law or regulation.
- Collect or store personal data about individuals in a manner that violates applicable privacy or data protection laws.
- Send unsolicited communications (spam) or engage in phishing, spoofing, or social engineering.
- Distribute malware, viruses, or any other harmful software through chat agent interactions or uploaded content.
- Engage in harassment, abuse, threats, or intimidation of any person through the Service.
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
- Attempt to gain unauthorized access to the Service, other user accounts, or any related systems.
- Use the Service in a way that could damage, disable, or impair the Service or interfere with any other party's use.
- Train AI chat agents on content that you do not have the right to use, including copyrighted material owned by third parties without authorization.
- Use the visitor tracking pixel or identity resolution features in jurisdictions where such tracking is prohibited without the required consent or legal basis.
5. Customer Responsibilities for Data Collection
As a Customer deploying Intendr chat agents, tracking pixels, or voice agents on your websites or phone lines, you are the data controller for all End-User data collected through the Service. You are responsible for:
- Providing appropriate privacy notices to your End-Users about the data being collected.
- Obtaining any required consents for tracking, fingerprinting, and data collection under applicable law (including GDPR, CCPA, and other privacy regulations).
- Configuring the Service's privacy features (such as zero-retention mode, fingerprint collection toggles, and domain allowlisting) appropriately for your legal obligations.
- Responding to data subject access, correction, and deletion requests from your End-Users.
- Ensuring that any webhook endpoints you configure handle received data in compliance with applicable law.
6. Training Content and Intellectual Property
6.1 Your Content
You retain all rights to the content you upload to train your chat agents, including documents, website content, and FAQ data ("Training Content"). By uploading Training Content, you grant Intendr a non-exclusive, worldwide license to process, store, and use that content solely for the purpose of providing the Service to you.
6.2 Responsibility for Content
You represent and warrant that you have all necessary rights to upload and use any Training Content with the Service, and that such use does not infringe upon the intellectual property rights of any third party.
6.3 Intendr Intellectual Property
The Service, including its design, software, algorithms, user interface, documentation, and branding, is owned by Intendr and protected by intellectual property laws. Nothing in these Terms grants you any right to use Intendr's trademarks, logos, or brand assets except as expressly permitted.
7. AI-Generated Content
Responses generated by AI chat agents and voice agents are produced by third-party large language models (including those from OpenAI and Anthropic) based on the Training Content you provide and conversation context. Intendr does not guarantee the accuracy, completeness, or appropriateness of AI-generated responses. You are responsible for reviewing and monitoring the output of your chat agents and voice agents.
AI-generated responses should not be treated as professional advice (legal, medical, financial, or otherwise). You should not configure chat agents to provide such advice without appropriate disclaimers and human oversight.
8. Third-Party Services
The Service integrates with third-party services including OpenAI, Anthropic, ElevenLabs, SendGrid, Google Maps Platform, and Google Analytics. Your use of the Service is also subject to the terms and policies of these third-party providers. Intendr is not responsible for the practices, availability, or performance of third-party services.
9. Service Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. We may perform scheduled or emergency maintenance that temporarily affects availability. We are not liable for any losses resulting from Service downtime or interruptions.
10. Fees and Payment
Access to the Service may be subject to fees as communicated to you during the invitation process or in a separate agreement. We reserve the right to modify pricing with reasonable advance notice. Usage of telephony features is metered by minutes, and usage limits may apply per organization.
11. Limitation of Liability
To the maximum extent permitted by applicable law, Intendr and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities, arising out of or related to your use of the Service, even if we have been advised of the possibility of such damages.
Our total aggregate liability for all claims arising under or related to these Terms shall not exceed the greater of (a) the amount you paid to Intendr in the twelve (12) months preceding the claim, or (b) one hundred US dollars ($100).
12. Indemnification
You agree to indemnify, defend, and hold harmless Intendr and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Service.
- Your Training Content or any data you collect through the Service.
- Your violation of these Terms.
- Your violation of any applicable law or regulation, including privacy and data protection laws.
- Any claim by a third party (including your End-Users) related to data collected through your use of the Service.
13. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, upon notice to you. You may terminate your account at any time by contacting us. Upon termination:
- Your right to access and use the Service will immediately cease.
- We may retain your data for a reasonable period to comply with legal obligations, resolve disputes, or enforce our agreements.

14. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your requirements, operate without interruption, or be free of errors or security vulnerabilities.
15. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.
16. Changes to These Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Effective Date" at the top of this page and notify you by email or through the Service. Your continued use of the Service after any changes constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.
17. Miscellaneous
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Intendr regarding the Service.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
- Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
- Assignment: You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations freely.
